This agreement

These terms are an agreement between you and Alvero Venture Group LLC (“we,” “us”), which operates MyDigitalShow (the “Service”). The Service gives card and collectibles shows a QR-accessible vendor directory, interactive floor map, and schedule.

By creating an account, publishing a show, editing a listing, or opening a published show guide, you agree to these terms. If you do not agree, do not use the Service. Our privacy policy explains how we handle information and forms part of this agreement.

Who may use the Service

Attendees can browse a published show guide without an account. Accounts are for organizers and vendors, and you must be at least 18 years old and able to enter a binding contract to create one. If you use the Service for a business or an organization, you confirm that you are authorized to accept these terms on its behalf.

Your account

Give accurate account information and keep it current. You are responsible for your credentials, for everything done through your account, and for keeping your password confidential.

A vendor listing can also be edited through a private edit link instead of an account. Anyone holding that link can edit that listing, so treat it like a password and do not share or post it publicly. Tell us at [email protected] promptly if you believe an account or an edit link has been compromised.

Organizer responsibilities

If you publish a show, you control its content and you are responsible for it. In particular:

  • You have the rights needed to upload and publish your floor plans, images, logos, event details, and vendor lists, including any third-party material they contain.
  • You have a lawful basis and any necessary permission to give us vendor contact details, and you will handle vendor information in line with applicable law.
  • Your show details, booth assignments, schedule, and announcements are accurate and kept up to date. Attendees rely on them.
  • Messages you send vendors through the Service relate to their participation in your show, and you will not use the Service to send unlawful, misleading, or unsolicited bulk commercial messages.
  • You are responsible for your own event: admissions, safety, venue rules, taxes, permits, and everything else about the physical show. We are not an organizer, promoter, or operator of your event.

Vendor responsibilities

If you manage a listing, keep it accurate. Describe what you actually sell, honor the show specials you publish while they are listed, and do not post misleading claims about authenticity, grading, condition, or price. Use only text, names, and images you have the right to use. An organizer decides which vendors appear in their show and may remove or amend a listing in their own event.

Attendees and the show floor

A show guide is a directory, map, and schedule published by the organizer of that show. Vendor listings, booth locations, specials, and schedule entries come from the organizer and its vendors, and we do not verify them. Details change during a show, and the guide may be out of date at any moment.

We are not a party to any purchase, sale, trade, grading, authentication, or other transaction between you and a vendor or an organizer, and we take no responsibility for it. Satisfy yourself about any item and any seller before you buy.

Your content and our rights to it

You keep ownership of the content you provide: event details, floor plans, images, listings, schedules, messages, and feedback. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt for display, and publish that content as needed to operate the Service, including publishing it in your show guide and showing it to the organizers, vendors, and attendees who are meant to see it. That license lasts as long as we hold the content and ends when it is deleted, except for copies retained in routine backups.

We may remove content that we reasonably believe breaks these terms, infringes someone’s rights, or exposes us or our users to legal risk.

Acceptable use

Do not:

  • break the law, infringe intellectual property, or violate anyone’s privacy;
  • post content that is fraudulent, defamatory, harassing, or deliberately misleading;
  • scrape, bulk-export, resell, or republish vendor directories, contact details, or activity reports you were not given for that purpose;
  • probe, scan, or attempt to breach the Service, access another organization’s show data, use another person’s account or edit link, or circumvent rate limits and access controls;
  • submit automated or artificial activity to distort a show’s reports, or flood a form or interface;
  • upload malicious code, or interfere with the operation or availability of the Service.

Our intellectual property

The Service itself, including its software, interfaces, design, and the MyDigitalShow name and marks, belongs to us or our licensors. These terms do not grant you any right to use our name or marks apart from the ordinary use of the Service, such as sharing a published show guide or its QR code. We welcome your suggestions, and we may use them without obligation or compensation to you.

Third-party services and links

The Service relies on third-party providers for hosting, database, authentication, file storage, and email delivery. Show guides may also link out to vendor websites and social profiles. We do not control third-party sites or services, and we are not responsible for their content, availability, or practices.

Availability, changes, and fees

We are building and improving the Service, and we may add, change, or remove features, or suspend access for maintenance. We do not promise uninterrupted or error-free operation. Plan for the show floor accordingly: keep a printed fallback for anything attendees cannot do without.

Where access is offered at no charge, including demos and trials, we may end or limit it at any time. Any fees, invoicing, or paid plans apply only if we agree them with you separately in writing, and those terms will govern the charges.

Suspension and termination

You may stop using the Service at any time and ask us to close your account at [email protected]. We may suspend or terminate access, or remove content, if you breach these terms, if we are required to by law, or if your use creates risk for other users or for us. We will give notice where it is reasonable to do so.

On termination, your right to use the Service ends. Sections that by their nature should survive, including content licenses for material already published, disclaimers, limits of liability, and indemnity, continue to apply.

Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty about the accuracy, completeness, or availability of show, vendor, booth, or schedule information. We do not warrant that the Service will meet your requirements or that activity reports are complete or error-free.

Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or losses arising from attendance at or participation in a show, from any transaction with a vendor or organizer, or from reliance on information published in a show guide.

Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred US dollars. Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you.

Indemnity

You will defend, indemnify, and hold us harmless from claims, losses, and expenses, including reasonable legal fees, arising from the content you provide, your use of the Service, your breach of these terms, or your event and your dealings with attendees, vendors, venues, or organizers.

Governing law and disputes

These terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Illinois for any dispute that is not resolved informally, and each of us waives any objection to venue there. Please contact us at [email protected] first; most issues can be sorted out without a dispute.

Changes to these terms

We may update these terms as the Service changes. The date at the top of this page shows when they last changed, and we will give notice of significant changes through the Service or by email to account holders. Continuing to use the Service after an update means you accept the updated terms.

General

These terms, together with the privacy policy and any separate written agreement with us, are the entire agreement between us about the Service. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing here creates a partnership, agency, or employment relationship between us.

Questions about these terms can go to [email protected].
